Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Rex Squad AI ("Rex Squad," "we," "us," or "our") governing your access to and use of our website, applications, and services (collectively, the "Services").

Rex Squad provides AI-powered virtual employees that help businesses automate tasks, manage workflows, and improve productivity. Our AI employees can perform various functions including but not limited to communication management, content creation, data analysis, and task coordination.

Account Registration

To use certain features of our Services, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use our Services.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights

You retain ownership of any content you submit to our Services ("Your Content"). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store Your Content solely for the purpose of providing and improving our Services.

You are responsible for Your Content and represent that you have all necessary rights to submit it and grant us the license described above.

Intellectual Property

The Services and all associated intellectual property rights are owned by Rex Squad. This includes but is not limited to:

• Software, algorithms, and AI models
• User interface designs and visual elements
• Trademarks, logos, and brand assets
• Documentation and training materials

Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Services as permitted by these Terms.

Payment Terms

If you purchase a paid subscription to our Services:

• You agree to pay all fees associated with your subscription
• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change our pricing with 30 days' notice
• Failed payments may result in suspension of your account

Termination

You may terminate your account at any time by contacting us or using the account settings. We may suspend or terminate your access to the Services at any time if:

• You breach these Terms
• You fail to pay applicable fees
• We are required to do so by law
• We discontinue the Services (with reasonable notice)

Upon termination, your right to use the Services will immediately cease. We will delete your data in accordance with our Privacy Policy.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of AI-generated content

AI systems may produce inaccurate or incomplete results. You are responsible for reviewing and verifying all AI-generated content before use.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REX SQUAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services
• Any damages arising from your use of AI-generated content

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Rex Squad and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Delaware.

Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
